Initial public offering of 19,427,63 equity shares of face value of Rs.2 each ("Equity Shares") of GNG Electronics Limited ("Company" or "Issuer") for cash at a price of Rs. 237 per equity share (including a share premium of Rs. 235 per equity share) ("Offer Price") aggregating to Rs. 460.44 crores (the "Offer") comprising of a fresh issue of 16,877,637 equity shares of face value of Rs.2 each aggregating to Rs. 400.00 crores* ("Fresh Issue") and an offer for sale of 2,550,000 equity shares of face value of Rs.2 each ("Offered Shares") aggregating to Rs. 60.44 crores comprising 35,000 equity shares of face value of Rs.2 each by Sharad Khandelwal aggregating to Rs.0.83 crores, 35,000 equity shares of face value of Rs.2 each by Vidhi Sharad Khandelwal aggregating to Rs.0.83 crores and 2,480,000 equity shares of face value of Rs.2 each by Amiable Elctronics Private Limited aggregating to Rs. 58.78 crores (collectively, "Selling Shareholders" and such offer for sale of equity shares by the selling shareholders, the "Offer for Sale").
